Twitter argued that NY Law applied, although this is part of the issue where I think CM said, yeah, also, feel free to grab some additional case law on your way out the door, because arguably DE law apples, though there's some nuance in the languaging of the ks.

NY has a clearer def excepting Musk & MSes from having common interest priv (unless we get down the rabbit hole to enforcement of SP and financing issues...). Under DE law, their argument was that this was a commercial, not legal, interest so no dice.

I swore at a later part of the hearing, we were arguing over 5/13 as a privilege date, but I guess that's the day Musk anticipated litigation. MS&Co. got sus three days later as of 5/16.

here, Twitter is basically arguing in the alternative against both bodies of law: New York and Delaware, so that they have an argument on the record no matter what McCormick finds to be the controlling set of precedent.
